A pvt co has appointed a WTD on 1.4.2014 in the BM subject to the approval of shareholders in the next shareholders meeting. The EGM was held on 1.5.2014 wherein the appt has been approved by the members. As per Sec 196 MR1 is to be filed within 60 days of such appointment. MR1 corresponds to Form 25C under CA 1956. So should we file MR1 twice in the case, ie once on approval by the Board and second post approval by the shareholders?. If yes, will the effective date of appointment in both the MR1 be 1.4.2014?. I suppose the effective date of appointment is treated as the date of event for calculation of fees.

In case of a person above 70 yrs appointed as MD with shareholders approval by way of spl resolution if the remuneration is increased subsequently, is there necessity to file any other eform apart from MGT14 for BM resolution approving the increase of remuneration?

Is Form DIR 12 required to be filed for re-appointment of a whole-time director in a private limited company as per the provisions of section 196 of the CA2013?

A company has filed Form MR-2 for re-appointment of Managing Director. After receiving the Central Government's approval letter for appointment, is MR-1 required to be filed with Registrar of Companies.

Appointment of Non-KMP in a public limited co. u/s 196 and within schedule V of the Act with Ordinary resolution. Then why MGT-14 is complusory for MR-1 and which section attract to file MGT-14. Pl. advise.

If a person appointed u/s 196 and not u/s 203 reason being, KMP is not applicable and Co. is a public Ltd. Co and remuneration paid to the WTD (Non-KMP) is within limit as per Schedule V and Ordinary Resolution is passed. then MR-1 is required to be filed but for this, SRN of MGT-14 is required. Please let me know under which section MGT-14 is to be filed because Section 117 is not applicable as matter is OR and not covered under section 179 and rules made thereunder. Hope you will reply as early as possible because no professional advised me in this regard.

In case of revision of remuneration of MD, whether section 196 is applicable? Section 196(4) is subject to provisions of Sec 197 and Sch V. Sec 197 seems to apply only for public companies and Sch V is subject to Sec 197. On a collective reading whether shareholder resolution/C approval is required for revision of MD remuneration? Pls advise
